Corporate Development Group

The Corporate Development Group is an integral part of Temasek's success and dovetails our investment activities by strengthening internal processes and systems. Our Corporate Development Group is organised as follows:

Finance
Legal & Regulations
Risk Management
Portfolio Management
Human Resources
LDCC Secretariat
Internal Audit

Finance

Finance's mission is to provide financial advisory and reporting services to support the investment and corporate operations of Temasek.

The unit value-adds by partnering our investment teams throughout the investment process. It marks its contribution in areas of accounting and reporting, corporate finance, treasury and capital market operations, tax compliance and planning.

Legal & Regulations

Members of Legal & Regulations are actively involved in all legal matters arising from Temasek's investments, and operations.

These include advising on legal issues, reviewing and drafting legal documents, handling negotiations and dispute resolution. The team also identifies and manages regulatory compliance risks faced by Temasek.

Risk Management

Risk Management (RM), together with the senior management team, supports the Temasek's Board and CEO in providing the oversight and management of strategic, financial and operational risks.

To achieve this, RM manages the enterprise risk management framework by monitoring the key risk parameters and promoting a culture of risk awareness and sense of balance in risk-taking.

Portfolio Management

Portfolio Management provides three primary capabilities to support Temasek's activities.

Performance Analytics builds and maintains a performance management framework for Temasek that provides insight into how each investment is performing, period by period and over time. We use several shareholder value-based metrics, including Wealth Added, TSR and Economic Profit as appropriate.

Portfolio Review applies a rigorous value-based framework to develop a deeper understanding of the different product and geographic markets a portfolio company participates in and its competitive position in each market. This understanding is then used to assess the intrinsic value of the portfolio company under the current strategy and management model and identify opportunities to improve intrinsic value and, thus, long-term returns from this investment.

Variable Compensation Systems provides support to Temasek and portfolio companies to design and implement variable compensation plans for senior management that provide strong alignment with shareholder interests and promote both short and long-term performance.

Human Resources

Human resource management is a collaborative effort in Temasek. Human Resources (HR) partners the leaders to build a sustainable organization capable of delivering consistently good performance.

Key focuses for HR are to attract and develop high quality talent and in creating a nurturing environment that engages employees to deliver their best. In designing and implementing policies and programs, the team constantly seeks what is relevant and effective to sustain a evolving and growing organization.

LDCC Secretariat

LDCC Secretariat supports the Leadership Development & Compensation Committee ("LDCC") of the Temasek Board in the development of leadership policies and succession plans for key positions and Board appointments, renewals and compensation.

Our areas of focus include identifying business leaders for board directorships; reviewing corporate governance trends and practices, keeping pace with global industry norms and managing performance-based compensation plans for our staff. We also provide support to our portfolio companies on matters of Board governance.

Internal Audit

Internal Audit conducts periodic reviews on key processes and responds to Board and management requests to undertake special reviews. This is to ensure the end-to-end processes in Temasek are well controlled and any gaps identified can be expeditiously addressed. Increasingly, the unit also acts as a source of corporate knowledge to other departments within the company.
